Terms

Terms of service

Effective 1 July 2026. Eleven sections, no defined-terms appendix, and the important one is second.
01

The agreement

These terms are between you and Meridian Inc., a Delaware C corporation at 535 Mission Street, Suite 1400, San Francisco, CA 94105. By creating an account or using Meridian you agree to them. If you are agreeing on behalf of a fund or firm, you confirm you are allowed to.

We have written these in plain English on purpose. It would be strange to sell clarity and then hide behind four thousand words of our own.

02

Meridian is not investment advice

Meridian is software that reads a pitch deck and data room and produces a structured memo. We are not an investment advisor, we are not your broker, and using Meridian does not create an advisory relationship or substitute for professional financial advice.

Memos are produced by language models and can be wrong, particularly on judgement calls about a specific company or market. You are responsible for your own investment decisions. Every memo is a draft to inform a human decision, not a recommendation to invest or not to invest. Meridian never says buy or pass, never assigns a score, and never recommends a decision.

03

Your account

  • You need an account, and the information on it must be accurate.
  • You are responsible for what happens under your account, so keep the credentials to yourself.
  • One person per seat. The Fund plan includes team seats and each is for one named person.
  • Tell us promptly if you think someone else is using your account.
04

Your content stays yours

Decks and data rooms you submit and the memos produced from them are yours. You grant us only the licence needed to run the service: to process the document text, send it to a model provider to produce your memo, and store the result for you.

We do not use your documents to train models, we do not sell them, and we do not share them with anyone other than the model provider producing your memo. You can delete any memo, or the whole account, at any time.

05

What you may not do

  • Use Meridian to break the law, or to run memos on documents you have no right to hold.
  • Resell or white-label the output as your own diligence service without a written agreement with us.
  • Attempt to extract the prompts or scrape the service in bulk.
  • Upload malware, or deliberately try to break the service for other people.
06

Plans, payment and cancelling

  • The free plan includes two memos per calendar month, counted in UTC and reset on the first.
  • Angel is $39 a month and Fund is $149 a month, in US dollars. Annual billing is ten months for twelve, charged once.
  • Subscriptions renew automatically until you cancel. We will not hide the cancel button, and we will not require a phone call.
  • Cancelling takes effect at the end of the period you have already paid for, and you keep read access to memos you have already run.
  • If we raise prices, existing subscribers keep their price for at least 12 months and get 30 days' notice.
  • Refunds: if something we did stopped Meridian working for you, email us and we will refund the period. We would rather give the money back than argue.
07

Availability

We aim for Meridian to be available and we publish incidents on the status page. We do not offer a contractual uptime guarantee at this stage of the company, and we would rather say so than promise one we have not built the redundancy to keep.

08

Liability

To the extent the law allows, our total liability for any claim relating to Meridian is limited to the amount you paid us in the 12 months before the claim, and we are not liable for indirect or consequential loss, including lost profits or the outcome of an investment decision.

Nothing here limits liability for fraud, or for anything else that cannot be limited by law.

09

Ending it

You can stop using Meridian and delete your account at any time from Settings. We may suspend or close an account that breaks these terms, and where we reasonably can we will tell you why first and give you a chance to export your memos.

10

Governing law

These terms are governed by the laws of the State of California, and any dispute will be heard in the state or federal courts in San Francisco County, California. Both of us waive a jury trial. We have not put an arbitration clause in, because we would rather not rely on one.

11

Changes

If we change these terms materially we will email account holders at least 30 days before the change takes effect. Carrying on using Meridian after that means you accept the new version. This version is effective 1 July 2026.

The plain version of section two is on the care page. Questions about any of this go to hello@meridianalabs.com and a person will answer.
